Please read these terms carefully before joining the MSpace Affiliate Program.
By registering as an affiliate, you agree to be legally bound by all of the following terms and conditions.
1. Introduction
MSpace Solutions Ltd ("MSpace", "we", "us") operates the MSpace Affiliate Program (the "Program") to allow independent partners ("Affiliate", "you") to earn commission by referring new paying clients to MSpace's communication services, including but not limited to Bulk SMS, USSD, WhatsApp Business API, M-Pesa Integration, and Bulk Email.
These Terms & Conditions govern your participation in the Program. MSpace reserves the right to update these terms at any time; continued participation after notice of changes constitutes acceptance.
2. Eligibility
- You must be at least 18 years of age and legally capable of entering a binding contract.
- MSpace reserves the right to accept or decline any application at its sole discretion.
3. Prohibited Clients & Industries
⚠ You may NOT refer or promote MSpace services to the following:
- Political organisations & campaigns — including political parties, election campaigns, lobby groups, political action committees (PACs), or any entity whose primary purpose is political influence, canvassing, or voter mobilisation.
- Gaming, lottery & betting companies — including online casinos, sports betting platforms, lottery operators, sweepstakes, skill-game platforms, or any organisation involved in gambling or games of chance, whether licensed or unlicensed.
- Adult content providers — any service, product, or promotional material of a sexual, obscene, or adult nature.
- Illegal businesses — any organisation engaged in activities that are illegal under the laws of Kenya or any other applicable jurisdiction.
- Pyramid or Ponzi schemes — multi-level marketing structures that primarily reward recruitment over genuine product sales.
- Hate groups or discriminatory organisations — entities promoting hatred, violence, or discrimination based on race, gender, religion, ethnicity, sexual orientation, disability, or nationality.
- Spam or unsolicited communications vendors — businesses that send unsolicited bulk messages without prior subscriber consent.
Violation of this clause is grounds for immediate account suspension and forfeiture of any pending commissions.
4. Referral & Lead Tracking
- Each affiliate receives a unique referral link containing their personal referral code (e.g.,
https://mspace.co.ke/?ref=YOURCODE).
- Referral cookies are valid for 30 days from the date of the first click.
- A referral is only eligible for commission if the referred party is a new client who has never previously registered or purchased from MSpace.
- Referrals are tracked through the following pipeline: New Lead → Demo Requested → Demo Done → Negotiating → Won (Sale).
- Commission is credited only upon a confirmed and approved payment by MSpace administration. Leads and demos alone do not trigger commission.
5. Commission & Earnings
- The default commission rate is 7% of the confirmed sale value. MSpace may adjust your individual rate at its discretion, and you will be notified of any changes.
- Commissions are credited to your affiliate wallet after an admin has verified and approved the payment from the referred client.
- The minimum withdrawal threshold is KES 500. Payouts are processed within 3-5 business days via M-Pesa or bank transfer.
- MSpace reserves the right to withhold commission on any transaction that is reversed, fraudulent, or in dispute.
- Commissions earned through self-referral, abuse of the referral system, or collusion are void and may result in account suspension.
6. Gamification & Points
- MSpace awards points for key milestones: account registration, lead submission, demo completion, and confirmed sales.
- Points are for recognition and internal leaderboard purposes only. Points do not have monetary value and cannot be exchanged for cash or goods unless MSpace explicitly announces otherwise.
- MSpace reserves the right to modify the points system, including awarding or deducting points, without prior notice.
7. Affiliate Conduct & Prohibited Promotions
- You must not engage in spam, unsolicited emails, or unsolicited SMS messaging to promote your referral link. Any commercial message must comply with Kenya's Data Protection Act 2019 and relevant communications regulations.
- You must not use paid advertising that directly targets MSpace's brand keywords without prior written consent from MSpace.
- You must not make false, misleading, or exaggerated claims about MSpace's services, pricing, or features.
- You must not impersonate MSpace employees, create fake MSpace websites, or use MSpace's logo or branding in a manner not explicitly authorised.
- You must not use cookie stuffing, click fraud, bot traffic, or any artificial means to inflate referral metrics.
- MSpace reserves the right to reject any referral that it suspects was generated through deceptive, coercive, or fraudulent means.
8. Non-Solicitation of MSpace Clients
You agree that during the term of your participation in the Program and for 12 months thereafter, you will not directly solicit any MSpace client introduced to you through the Program for competing communication services.
9. Data Protection & Privacy
- Any personal data you share with MSpace is processed in accordance with MSpace's Privacy Policy and Kenya's Data Protection Act 2019.
- You must not share, sell, or misuse any client or lead data obtained through your affiliate activities or MSpace's systems.
- Lead data submitted via the Program is the exclusive property of MSpace and the respective client.
10. Anti-Spam & Messaging Compliance
These provisions are adapted from MSpace's standard platform terms:
- You must not broadcast messages to databases of numbers that have not actively subscribed or consented to receive communications from you.
- All promotional messages must include a clear opt-out mechanism.
- You must not send commercial messages to recipients without prior explicit consent or a prior commercial relationship.
- Any affiliate found to be engaging in spam campaigns will be immediately suspended and reported to the relevant authorities.
11. Staff Assignment & Training Support
MSpace may assign an internal staff member to assist you with training, lead management, product knowledge, and sales strategy. You agree to engage in good faith with your assigned staff contact. Communications via the affiliate portal are monitored for quality and compliance purposes.
12. Termination
- MSpace may terminate your affiliate account at any time for breach of these terms, inactivity, fraud, or any conduct deemed harmful to MSpace's reputation or clients.
- You may terminate your participation at any time by notifying MSpace in writing.
- Upon termination, any pending commissions on unconfirmed sales are forfeited. Approved wallet balances above the minimum threshold remain payable subject to final verification.
13. Disclaimers & Limitation of Liability
MSpace makes no representation or guarantee regarding the volume of referrals, the number of conversions, or the amount of commission you will earn. Your success depends on your own effort, network, and promotional activity.
MSpace shall not be liable for any indirect, incidental, consequential, or special loss arising from your participation in the Program, including loss of profits, lost opportunities, or reputational damage.
14. Governing Law
These terms are governed by the laws of the Republic of Kenya. Any dispute shall be resolved by the courts of Nairobi, Kenya.
